MANAGED SERVICE PROVIDER (MSP) PARTNER AGREEMENT

Cross Country Communications Corp. d/b/a HoneyTrap Pro and HoneyCloud

IMPORTANT: THIS AGREEMENT GOVERNS YOUR RELATIONSHIP WITH CROSS COUNTRY COMMUNICATIONS CORP. AS A RESELLER/PARTNER. YOU ARE AGREEING ON BEHALF OF YOUR COMPANY AND ACCEPT RESPONSIBILITY FOR YOUR END CUSTOMERS USE OF THE SERVICES.

ARTICLE I: PARTNER RELATIONSHIP

1.1 By creating an account on HoneyCloud, you ("Partner" or "MSP") enter into this Agreement with Cross Country Communications Corp. ("CCC").

1.2 Partner is authorized to resell, deploy, and manage HoneyTrap Pro appliances for Partner's end customers ("Customers").

1.3 Partner is an independent contractor, not an employee or agent of CCC.

ARTICLE II: PARTNER RESPONSIBILITIES

2.1 Customer Agreement Requirement. Partner SHALL ensure each Customer signs the End User Limitation of Liability Agreement before using any HoneyTrap Pro appliance. Failure to obtain signatures may result in Partner bearing full liability for Customer claims.

2.2 Proper Deployment. Partner is solely responsible for:

Proper installation and configuration of appliances;
Training Customers on system limitations;
Monitoring alerts and communicating threats;
Ensuring Customers understand Services are detection-only, NOT prevention;
Managing Customer expectations regarding security limitations.

2.3 No Overselling. Partner SHALL NOT represent that HoneyTrap Pro will prevent, stop, or protect against cyberattacks or data breaches. The Services are detection and alerting tools ONLY.

ARTICLE III: LIMITATION OF LIABILITY

3.1 CCC SHALL NOT BE LIABLE TO PARTNER FOR ANY SECURITY INCIDENT, DATA BREACH, OR CYBERATTACK AFFECTING PARTNER OR CUSTOMERS.

3.2 CCC'S TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE TWELVE (12) MONTHS PRECEDING ANY CLAIM, OR $500, WHICHEVER IS LESS.

ARTICLE IV: PARTNER INDEMNIFICATION

4.1 Partner agrees to defend, indemnify, and hold harmless CCC from claims arising from:

Any claim by Customers related to the Services;
Failure to obtain Customer signatures on End User Agreement;
Misrepresentation of Service capabilities;
Improper deployment, configuration, or management;
Failure to train or inform Customers;
Any Security Incident affecting Partner or Customers;
Violation of applicable laws.

ARTICLE V: DISCLAIMER OF WARRANTIES

5.1 SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, AND NON-INFRINGEMENT.

5.2 CCC DOES NOT WARRANT SERVICES WILL DETECT ALL THREATS OR PREVENT ANY SECURITY INCIDENT.

ARTICLE VI: GOVERNING LAW

6.1 Governed by laws of the State of Texas. Disputes resolved in Hopkins County, Texas courts.

6.2 EACH PARTY WAIVES RIGHT TO JURY TRIAL.
